These Terms of Service (“Terms”) govern your use of the UpLevr website and services. By accessing or using our services, you agree to be bound by these Terms.
Service Description
UpLevr is an AI automation consultancy that provides workflow audits, custom automation solutions, and ongoing managed support. Our services are designed to identify inefficiencies in your business operations and build tailored solutions that save you time and money.
The UpLevr Process
Our engagement follows a three-phase model:
- Discover — A free, no-obligation assessment of your workflows. We identify inefficiencies, map opportunities, and deliver a detailed report of our findings.
- Build — We design and deploy custom automation solutions based on the Discover findings. Payment is due only after you review and confirm satisfaction with the delivered solutions.
- Support — Ongoing monitoring, optimization, and expansion of your automations through a monthly subscription. You may cancel at any time.
Payment Terms
- Discover phase — Free of charge. No payment information required.
- Build phase — Operates on a pay-on-results model. Payment is due only after you confirm that the delivered solutions meet the agreed-upon success criteria. Specific pricing is determined during the Discover phase and documented in a separate engagement agreement.
- Support phase — Billed monthly in advance. You may cancel your subscription at any time. No refunds are issued for partial months, but service continues through the end of the current billing period.
Client Responsibilities
To ensure the success of our engagement, you agree to:
- Provide accurate and complete information about your workflows and business processes.
- Respond to requests for feedback and approvals in a timely manner.
- Grant reasonable access to systems, tools, and platforms as needed for us to deliver our services.
- Designate a primary point of contact for communication during the engagement.
Intellectual Property
- Client property — Custom automations, workflows, and solutions built specifically for your business are your property upon full payment.
- UpLevr property — We retain ownership of our general methodologies, frameworks, tools, and reusable components that are not specific to your business.
- Your data — All business data you provide remains your property. We access and process it solely for service delivery purposes.
Confidentiality
We treat all client data and business information as confidential. We will not share, sell, or disclose your information to third parties except as necessary to deliver our services (for example, using third-party infrastructure providers as described in our Privacy Policy) or as required by law.
Limitation of Liability
To the maximum extent permitted by law, UpLevr shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of our services. Our total liability for any claim arising from these Terms or our services shall not exceed the total amount you have paid to UpLevr in the twelve (12) months preceding the claim.
Termination
- Either party may terminate a Discover or Build engagement with written notice. For active Build work, you will be invoiced only for completed and approved deliverables.
- Support subscriptions may be cancelled at any time. Cancellation takes effect at the end of the current billing period.
- We reserve the right to terminate services if you breach these Terms, with reasonable notice and an opportunity to cure the breach.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Delaware.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
